TERMS OF USE
1. DEFINITIONS:
(i) LEARN2SOAR: The expression “Learn2soar” means Learn2soar Limited (Registered in England & Wales: 04784003. Registered Office: 36A Market Street, New Mills, High Peak, SK22 4AA. United Kingdom, also trading as “Learn2soar Music”.) Hereafter, Learn2soar may also be referred to as “we” / “our” / “us”.
(ii) PRODUCT: The expression “product” or “products” means any physical or digital item/s of services, publications, resources, licences or goods, sold or distributed by Learn2soar.
(iii) ONLINE PRESENCE: The expression “total online presence” refers to the complete content of Learn2soar’s entire website, Learn2soar’s social media channels, and all material found within Learn2soar’s products and publications.
(iv) BUYER: The expression “buyer” or “buyers” means the person, firm, company or entity located anywhere in the world, who orders products from Learn2soar.
(v) USER: The expression “user” or “users” refers to any person, firm, company or entity located anywhere in the world, who has made use of any aspect of Learn2soar’s website or products, in any way, shape or form, regardless of whether or not they have ordered products from Learn2soar. Users may also be referred to as “you” / “your”.
2. TERMS:
(i) You are allowed to make use of Learn2soar’s total online presence based on these terms and conditions only. No terms and conditions other than those set forth herein or any variation thereof shall be binding upon Learn2soar including any terms and conditions which the user may attempt to apply, however or whenever they were sent.
(ii) The usage of any aspect of Learn2soar’s total online presence in any way shape, or form, shall be deemed to be conclusive evidence of the user’s acceptance of these terms and conditions in full.
(iii) Learn2soar reserves the right to amend these terms and conditions at any time without prior notice being given. Users are advised to check them every time they make use of any aspect of Learn2soar’s total online presence.
3. COPYRIGHT:
(i) The entirety of Learn2soar’s total online presence is protected by copyright.
(ii) With regards to various media including but not limited to images, video and audio, which are included on Learn2soar’s website, Learn2soar’s social media channels, and within Learn2soar’s products and publications: Most of this media has been created directly by Learn2soar, though we also utilise some stock media licensed to us for limited use. Regardless of the source of the media and regardless of the nature of inclusion, all media is protected by copyright and cannot be resold, repurposed or redistributed without the express permission of Learn2soar. Media appearing on Learn2soar’s website and on Learn2soar’s social media channels may not be copied, shared, repurposed or reused in any way, shape or form, without the express written permission of Learn2soar. The only exception is where Learn2soar’s social media posts are shared.
4. REVIEWS:
Learn2soar welcomes fair reviews from any buyer of Learn2soar’s products, taking the following terms into account:
(i) Learn2soar reserves the right not to publish a review if it cannot be confirmed that the review in question has been provided by a certified buyer of Learn2soar’s products.
(ii) Reviews will not be published if the review contains language which is offensive, abusive, blasphemous, lewd, sacrilegious, illicit, obscene or derogatory, or contains advertising or hyperlinks to any other website, individual or company.
(iii) In the interests of safeguarding the young children who perform on Learn2soar’s publications, reviews will not be published which directly address them, or their performance skills in a negative way.
(iv) Learn2soar reserves the right not to publish a review where it is apparent from the user’s comments that a breach of Learn2soar’s terms and conditions has taken place.
5. DISCLAIMER:
(i) Learn2soar’s website and products may offer links to other websites thereby enabling the user to leave Learn2soar’s website or products and go directly to the linked sites. Learn2soar is not responsible for the content of any linked site not operated by Learn2soar or any link in a linked site not operated by Learn2soar. Learn2soar is not responsible for any transmission received from any linked site. The inclusion of a link to a site not operated by Learn2soar does not imply that Learn2soar endorses or has approved the linked site.
(ii) Learn2soar will occasionally undertake audits of all publications and media contained within Learn2soar’s total online presence to ensure that all publications and media elements are licensed correctly and that no element of any publication or media infringes the intellectual property, copyright, or trademarks of any other person, establishment, firm, company or entity. In the event that any such element of any publication or media is found to cause any such discrepancy, Learn2soar will remove it, replace it, or relicense it within a reasonable timeframe, and in any such case, Learn2soar will not be held responsible or liable for any damages or loss to any user following the removal or replacement of any infringing element, media, or publication. Learn2soar makes no warranty or guarantee that all content found within Learn2soar’s total online presence is always correctly licensed and does not infringe on the intellectual property or trademarks of any third party. You make use of any element contained within Learn2soar’s total online presence entirely at your own discretion and risk.
6. LIABILITY:
Learn2soar is not liable for any damages arising in contract, tort or otherwise from the use of or inability to use any element of Learn2soar’s total online presence, in any way, shape or form, or from any action or decision taken as a result of using any element of Learn2soar’s total online presence, in any way, shape or form. You make use of Learn2soar’s total online presence entirely at your own discretion and risk. All users accept without equivocation, that Learn2soar, including all Learn2soar’s employees, writers and directors, cannot be held liable in any way, shape or form, for any injury, infection, illness, death, insult, loss, defamation, damage, or legal action, which results or arises from any activities the user undertakes, organises or participates in, which utilise any aspect of Learn2soar’s total online presence.
7. INDEMNIFICATION:
Users agree to indemnify and hold Learn2soar, its officers, employees, shareholders and directors, harmless against any damages or liability of any kind arising from any use of Learn2soar’s total online presence other than the uses expressly permitted by this document, and by Learn2soar’s terms and conditions of sale, and Learn2soar’s licence agreements. Users further agree to indemnify Learn2soar for all costs and expenses that Learn2soar incurs in the event that users breach any of the terms of this or any other agreement with Learn2soar.8. IMPROPER WEB USE:
Learn2soar’s total online presence is intended for the use of genuine buyers / users only. Automated apps, programs and bots are not allowed, except when they are used by one of the major search engines. Any other attempt to use an automated application, program or bot to access content, including but not limited to spamming, indexing, scraping, or caching any content on any aspect of Learn2soar’s total online presence, is not allowed. Learn2soar constantly monitors usage of all online visitors, and if at any time Learn2soar suspects that any usage is not that of a genuine buyer / user, then Learn2soar reserves the right to block access permanently and to seek compensation / redress for any improper use.9. GOVERNING LAW:
(i) These terms and conditions are governed by and shall be interpreted in accordance with English law. The courts of England and Wales have exclusive jurisdiction over any disputes or claims concerning this agreement and you agree not to commence any action against Learn2soar other than in the courts of England and Wales. Notwithstanding this, you agree that Learn2soar shall be allowed to apply for injunctive remedies in any jurisdiction.
(ii) If any aspect of this agreement is found to be invalid or unenforceable by any court in any jurisdiction, such invalidity or unenforceability shall not affect the remainder of the agreement, which shall still be fully enforceable.
(iii) Learn2soar’s failure at any time to enforce any of Learn2soars’ terms and conditions shall not be a waiver of them or a waiver of Learn2soar’s right to enforce such terms and conditions in the future.
10. BREACHES:
In the event of any breach of these terms and conditions, credit facilities and the supply of any future services may be withdrawn, and appropriate compensation / redress will be sought, where applicable.
